Terms of Service

1. Acceptance of Terms

By accessing or using Live Pro ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.

2. Service Description

Live Pro provides a comprehensive platform for managing inventory, breaks, sales reporting, payroll, and multi-platform operations for live shopping businesses. The Service includes tools for tracking sales across platforms including Whatnot, Fanatics Live, TikTok Shop, eBay, and custom platforms.

3. Subscription and Billing

3.1 Free Trial

New customers receive a 7-day free trial with full platform access. You will not be charged during the trial period. You may cancel at any time during the trial to avoid charges.

3.2 Subscription Fees

After the trial period, you will be automatically charged the following recurring monthly fees:
• Base Plan: $129/month (includes 1 user seat)
• Additional Seats: $19/month per additional user
• Optional Add-ons: RepackPro ($99/month), AI Streamer ($399/month)

3.3 Payment Processing

All payments are processed securely through our payment processor, Polar, using Stripe. By providing payment information, you authorize us to charge your payment method for all fees associated with your subscription.

3.4 Automatic Renewal

Your subscription will automatically renew each month unless you cancel before the renewal date. Cancellations take effect at the end of the current billing period.

3.5 Refund Policy

All fees are non-refundable except as required by law. If you cancel during your trial period, you will not be charged. If you cancel after the trial, you retain access until the end of your current billing period, but no refund will be issued for that period.

4. Account Responsibilities

4.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

4.2 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy.

4.3 Prohibited Uses

You may not use the Service to:
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Reverse engineer or decompile any part of the Service
• Use the Service for any unlawful or fraudulent purpose

5. Intellectual Property

The Service, including all content, features, and functionality, is owned by Live Pro and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your internal business purposes.

6. Data Ownership and Usage

6.1 Your Data

You retain all rights to the data you input into the Service ("Customer Data"). You grant us a limited license to use, store, and process Customer Data solely for the purpose of providing the Service to you.

6.2 Data Backup

While we maintain regular backups, you are solely responsible for maintaining your own backup copies of your Customer Data. We are not liable for any loss or corruption of Customer Data.

7. Service Availability and Modifications

7.1 Service Availability

We strive to provide 99.9% uptime, but the Service is provided "as is" and "as available." We do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with reasonable notice.

7.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will not be liable for any modification, suspension, or discontinuation of the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

LIVE PRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless Live Pro, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party right
• Any Customer Data you submit, post, or transmit through the Service

10. Termination

10.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.

10.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

10.3 Effect of Termination

Upon termination, you will lose access to your account and all Customer Data. We may delete your Customer Data in accordance with our data retention policies. We recommend exporting your data before cancellation.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:
• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from use of the Service will be accurate or reliable
• The quality of any products, services, information, or other material obtained through the Service will meet your expectations
• Any errors in the Service will be corrected

12. Third-Party Services and Links

The Service may integrate with or contain links to third-party services, including but not limited to Whatnot, Fanatics Live, TikTok Shop, eBay, Stripe (via Polar), and others. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to their terms.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

13.2 Arbitration Agreement

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. You waive your right to participate in a class action lawsuit or class-wide arbitration.

14. Changes to Pricing

We reserve the right to change our pricing at any time. Price changes will not affect your current subscription period but will apply upon renewal. We will provide at least 30 days' notice of any price increases.

15. Service Level Agreement (SLA)

We target 99.9% uptime excluding scheduled maintenance. In the event of extended downtime exceeding our SLA, you may be eligible for service credits equal to a prorated portion of your monthly fee for the affected period. Service credits are your sole and exclusive remedy for service unavailability.

16. User Content and Conduct

You are solely responsible for all data, information, feedback, suggestions, and other content that you upload, post, or transmit through the Service. You represent and warrant that you own or have the necessary rights to use and authorize us to use all such content and that such content does not violate any third-party rights.

17. Export Control

The Service may be subject to U.S. export control laws. You agree not to export, re-export, or transfer the Service to any country, person, or entity subject to U.S. export restrictions.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Live Pro concerning the Service and supersede all prior agreements and understandings.
