END USER LICENSE AGREEMENT (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and StreamPros LLC ("Company," "we," "us," or "our"), a limited liability company organized under the laws of Alabama, United States.

By accessing, downloading, installing, or using the LivePro software application and services (collectively, the "Software"), you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, you must not use the Software.

1. LICENSE GRANT

Subject to your compliance with this Agreement, StreamPros LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for your internal business purposes in accordance with the terms set forth herein.

This license is conditional upon:

Your acceptance of and compliance with this Agreement and our Terms and Conditions
Your payment of applicable subscription fees (where applicable)
Your compliance with all applicable laws and regulations

2. LICENSE RESTRICTIONS

You agree that you will NOT:

2.1 Modification and Derivative Works

Modify, adapt, alter, translate, or create derivative works of the Software
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software

2.2 Distribution and Transfer

Rent, lease, lend, sell, sublicense, distribute, or transfer the Software to any third party
Use the Software for service bureau or time-sharing purposes
Remove, alter, or obscure any proprietary notices on the Software

2.3 Unauthorized Use

Use the Software to build a competitive product or service
Copy or reproduce the Software except as expressly permitted
Frame or mirror any content of the Software on any other server or device
Access the Software to benchmark against competitive products

2.4 System Interference

Interfere with or disrupt the integrity or performance of the Software
Attempt to gain unauthorized access to the Software or related systems
Introduce viruses, malware, or other harmful code

3. INTELLECTUAL PROPERTY RIGHTS

3.1 Company Ownership

The Software, including all software, algorithms, code, technology, designs, user interfaces, documentation, trademarks, logos, and all intellectual property rights therein, is and shall remain the exclusive property of StreamPros LLC and its licensors. This Agreement does not transfer any ownership rights to you.

3.2 User Data

You retain all ownership rights to the data, information, and content you input, upload, or create using the Software ("User Data"). However, by using the Software, you grant StreamPros LLC a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use, process, store, copy, modify, and analyze your User Data for the purposes of:

Providing and improving the Software
Developing new features and services
Creating aggregated, anonymized, or de-identified data products
Analytics, machine learning, and artificial intelligence training
Any other lawful business purpose

3.3 Aggregated Data

StreamPros LLC owns all right, title, and interest in and to any aggregated, anonymized, or de-identified data derived from User Data, including all intellectual property rights therein. We may use, sell, license, or otherwise monetize such data without restriction.

3.4 Feedback

Any feedback, suggestions, ideas, or other information you provide regarding the Software shall become the exclusive property of StreamPros LLC, and we may use such feedback without any obligation to you.

4. ACCOUNT REQUIREMENTS

4.1 Account Registration

To use the Software, you must create an account and provide accurate, complete, and current information. You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use

4.2 Age and Authority

By creating an account, you represent and warrant that:

You have the legal capacity to enter into this Agreement
If using the Software on behalf of an organization, you have the authority to bind that organization
You will comply with all applicable age restrictions and laws in your jurisdiction

4.3 Account Security

You agree to:

Use a strong, unique password for your account
Not share your account credentials with others
Immediately notify us of any security breach or unauthorized access

5. PROHIBITED USES

You may not use the Software for any illegal, harmful, or unauthorized purposes, including but not limited to:

Violating any applicable laws, regulations, or third-party rights
Infringing intellectual property rights of others
Transmitting unlawful, harmful, threatening, abusive, or defamatory content
Engaging in fraudulent activities or misrepresentation
Harassing, stalking, or threatening others
Distributing spam, malware, or other harmful content
Attempting to bypass any security measures or access controls
Scraping, mining, or harvesting data from the Software without authorization

6. UPDATES AND MODIFICATIONS

6.1 Software Updates

StreamPros LLC reserves the right to modify, update, or discontinue the Software (or any part thereof) at any time without prior notice. Updates may be automatically downloaded and installed. You agree that we have no obligation to provide updates or maintain any particular features.

6.2 Agreement Modifications

We may modify this Agreement at any time by posting the updated version on our website or within the Software. Your continued use of the Software after such modifications constitutes your acceptance of the modified Agreement. If you do not agree to the modifications, you must stop using the Software.

7. TERM AND TERMINATION

7.1 Term

This Agreement begins when you first access or use the Software and continues until terminated by either party.

7.2 Termination by You

You may terminate this Agreement at any time by discontinuing use of the Software and deleting your account.

7.3 Termination by Us

We may suspend or terminate your access to the Software immediately, without prior notice or liability, for any reason, including:

Violation of this Agreement or our Terms and Conditions
Non-payment of fees
Fraudulent, abusive, or illegal activity
At our sole discretion for any reason or no reason

7.4 Effect of Termination

Upon termination:

Your license to use the Software immediately ceases
You must cease all use of the Software
We may delete your account and User Data in accordance with our Privacy Policy
Sections that by their nature should survive termination shall survive, including Sections 3 (Intellectual Property), 8 (Disclaimer), 9 (Limitation of Liability), and 11 (Governing Law)

8. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT
UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE OPERATION
ACCURACY, RELIABILITY, OR COMPLETENESS OF RESULTS OR INFORMATION
CORRECTION OF DEFECTS OR ERRORS

StreamPros LLC does not warrant that the Software will meet your requirements or that the operation will be uninterrupted or error-free. You assume all risks associated with the use of the Software.

NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY STREAMPROS LLC OR ITS REPRESENTATIVES SHALL CREATE A WARRANTY.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

9.1 Liability Cap

StreamPros LLC's total aggregate liability arising out of or relating to this Agreement or the Software shall not exceed the total amount paid by you to StreamPros LLC in the six (6) months preceding the event giving rise to liability.

9.2 Exclusion of Damages

IN NO EVENT SHALL STREAMPROS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
LOSS OF GOODWILL OR REPUTATION
COST OF SUBSTITUTE GOODS OR SERVICES
DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SOFTWARE

Even if StreamPros LLC has been advised of the possibility of such damages.

9.3 Basis of the Bargain

You acknowledge that the fees charged reflect the allocation of risk set forth in this Agreement and that StreamPros LLC would not enter into this Agreement without these limitations on liability.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless StreamPros LLC, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

Your use or misuse of the Software
Your violation of this Agreement
Your violation of any rights of another party
Your User Data or content you upload to the Software
Your violation of any applicable laws or regulations

11. GOVERNING LAW AND DISPUTE RESOLUTION

11.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Alabama, United States, without regard to its conflict of law principles.

11.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to this Agreement or the Software shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

The arbitration shall be conducted in Alabama, United States, before a single arbitrator. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

11.3 Exceptions to Arbitration

Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent unauthorized use of the Software.

11.4 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12. EXPORT COMPLIANCE

You acknowledge that the Software may be subject to export control laws and regulations of the United States and other jurisdictions. You agree to comply with all applicable export laws and not to export, re-export, or transfer the Software in violation of such laws.

13. U.S. GOVERNMENT RIGHTS

If you are a U.S. Government entity, the Software is a "commercial item" as defined in 48 C.F.R. 2.101, and your rights are limited to those granted under this Agreement.

14. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15. WAIVER

No waiver of any provision of this Agreement shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

16. ENTIRE AGREEMENT

This Agreement, together with our Terms and Conditions and Privacy Policy, constitutes the entire agreement between you and StreamPros LLC regarding the Software and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties.

17. ASSIGNMENT

You may not assign or transfer this Agreement or any rights or obligations hereunder without our prior written consent. We may assign this Agreement to any affiliate, successor, or acquirer without restriction.

All notices under this Agreement shall be in writing and delivered to:

20. ACKNOWLEDGMENT

BY USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.

21. MARKETPLACE SERVICES

21.1 Marketplace Overview

The Software may include marketplace features ("Marketplace") that allow users to post buy and sell offers for products and inventory. The Marketplace is provided as a networking and discovery tool to help businesses connect with each other.

21.2 No Transaction Responsibility

StreamPros LLC is NOT responsible for:

The success or failure of any buy/sell transactions
The quality, safety, legality, or accuracy of any listings
The ability of users to complete transactions
Any disputes between users regarding marketplace transactions
Any losses, damages, or issues arising from marketplace activities

21.3 No Payment Processing

StreamPros LLC does NOT:

Process any payments for marketplace transactions
Hold funds in escrow
Act as a payment intermediary
Guarantee payment or delivery

All payment arrangements must be made directly between users outside of the Software.

21.4 User Responsibilities

When using the Marketplace, you are solely responsible for:

Verifying the legitimacy and credibility of other users
Negotiating terms, prices, and payment methods
Completing transactions independently
Resolving any disputes with other users
Complying with all applicable laws and regulations
Any taxes, fees, or legal obligations related to your transactions

21.5 Networking Tool Only

The Marketplace is intended solely as a networking platform where users can:

Discover what products other businesses need
Advertise products they have available
Connect with potential buyers or sellers

The Marketplace is NOT:

An e-commerce platform
A payment processor
A transaction facilitator
A guarantee of business opportunities

21.6 No Warranties

StreamPros LLC makes NO WARRANTIES OR REPRESENTATIONS regarding:

The accuracy or completeness of marketplace listings
The reliability or trustworthiness of users
The availability of products listed
The likelihood of successful transactions
Any business relationships formed through the Marketplace

21.7 Disputes

Any disputes arising from marketplace transactions are strictly between the involved users. StreamPros LLC:

Is not a party to any marketplace transactions
Has no obligation to mediate or resolve disputes
May remove listings or users at its sole discretion
Assumes no liability for any marketplace-related disputes

21.8 Indemnification

You agree to indemnify and hold harmless StreamPros LLC from any claims, losses, damages, or expenses (including legal fees) arising from your use of the Marketplace or any transactions conducted through the Marketplace.

22. END-TO-END ENCRYPTED MESSAGING

22.1 Encryption Overview

The Software includes end-to-end encrypted messaging features ("Encrypted Messaging"). All messages sent through the Software are encrypted on your device before transmission and can only be decrypted by the intended recipient.

22.2 Privacy and Security

StreamPros LLC CANNOT and DOES NOT:

Read, access, or decrypt your message content
Provide message content to third parties (including law enforcement without your private keys)
Recover lost or forgotten encryption keys
Decrypt messages in the event of a data breach
Access message content for any purpose whatsoever

22.3 Technical Implementation

Encrypted Messaging uses:

RSA-OAEP 2048-bit encryption for key exchange
AES-GCM 256-bit encryption for message content
Client-side encryption using industry-standard Web Crypto API
Private keys stored locally on your device only

22.4 Your Responsibilities

When using Encrypted Messaging, you are responsible for:

Securing your device and account credentials
Managing your encryption keys
Understanding that deleted messages cannot be recovered by StreamPros LLC
Verifying you are communicating with intended recipients
Backing up important messages (if needed for business records)

22.5 Metadata Collection

While message CONTENT is encrypted and private, StreamPros LLC may collect and process:

Message metadata (sender, recipient, timestamp, message size)
Conversation participation and frequency
Delivery status and read receipts

This metadata is necessary for providing the messaging service but does not include message content.

22.6 Legal Compliance

In response to valid legal requests, StreamPros LLC can only provide:

Encrypted message data (which we cannot decrypt)
Message metadata (who, when, size)
User account information

We cannot and will not provide decrypted message content as we do not have the technical capability to do so.

22.7 No Warranty for Encryption

While we implement industry-standard encryption:

We make no warranties regarding the absolute security of encrypted messages
You use Encrypted Messaging at your own risk
We are not liable for any security breaches or unauthorized access
We recommend following security best practices for your devices

22.8 Key Management

You acknowledge that:

Your private encryption keys are stored only on your device
If you lose access to your device or clear browser data, you may lose access to encrypted messages
StreamPros LLC cannot recover your private keys or decrypt old messages
You are solely responsible for backing up important communications

22.9 Future Changes

StreamPros LLC reserves the right to:

Modify or enhance encryption methods to improve security
Discontinue Encrypted Messaging features
Change encryption implementation with reasonable notice

Any material changes to encryption policies will be communicated to users.
