Welcome to LivePro, a software platform operated by StreamPros LLC ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the LivePro platform, including our website, mobile applications, and all related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
1. ACCEPTANCE OF TERMS
1.1 Binding Agreement
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and StreamPros LLC. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms.

Your use of the Service is also governed by:
- Our End User License Agreement (EULA)
- Our Privacy Policy
- Any additional terms applicable to specific features or services

- Creating an account
- Accessing the Service
- Using any features of the Service
- Clicking "I Accept" or similar buttons
You expressly acknowledge and agree to be bound by these Terms.
2. SERVICE DESCRIPTION
2.1 Overview
LivePro is a comprehensive business management platform designed for resellers, collectors, and merchants. The Service provides tools for:
- Inventory Management: Track, organize, and manage product inventory
- Sales Tracking: Record and analyze sales across multiple channels
- Show Management: Organize and manage live sales events and shows
- Customer Management: Track customer information and purchase history
- Product Management: Manage product listings, photos, and descriptions
- Analytics and Reporting: Generate insights from business data
- Multi-channel Integration: Connect with various sales platforms
2.2 Service Modifications
We reserve the right to:
- Modify, suspend, or discontinue the Service (or any part thereof) at any time
- Change features, functionality, or availability without prior notice
- Impose limits on certain features or restrict access to parts of the Service
We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
3. ACCOUNT REGISTRATION AND SECURITY
3.1 Account Creation
To use the Service, you must:
- Create an account by providing accurate, complete, and current information
- Maintain and promptly update your account information
- Provide a valid email address for communications
- Choose a secure password
3.2 Account Eligibility
You represent and warrant that:
- You have the legal capacity and authority to enter into these Terms
- All information you provide is truthful, accurate, and complete
- If representing an organization, you have authority to bind that organization
- You will comply with all applicable laws and age restrictions in your jurisdiction
3.3 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized access or security breach
- Using strong, unique passwords and security best practices
3.4 Account Termination
We reserve the right to suspend or terminate your account at any time for:
- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Non-payment of fees
- Any reason or no reason at our sole discretion
4. SUBSCRIPTION AND BILLING
4.1 Service Plans
LivePro offers various subscription plans:
- Free Trial: Limited-time trial access with potential feature restrictions
- Paid Tiers: Subscription-based plans with varying features and pricing
- Enterprise Plans: Custom pricing and features available at our sole discretion
4.2 Pricing
- Subscription fees are charged in advance on a recurring basis (monthly or annually)
- Prices are displayed on our website and are subject to change
- Enterprise pricing is determined at our sole discretion based on individual requirements
- We reserve the right to modify pricing with notice to existing subscribers
4.3 Payment Processing
- All payments are processed through Stripe, our third-party payment processor
- You must provide valid payment information to subscribe to paid plans
- By subscribing, you authorize us to charge the payment method on file
- You are responsible for all fees, taxes, and charges associated with your account
4.4 Auto-Renewal
- Subscriptions automatically renew at the end of each billing period unless cancelled
- You will be charged the then-current rate for your subscription plan
- You must cancel before the renewal date to avoid being charged for the next period
- Cancellation takes effect at the end of the current billing period
4.5 Cancellation
You may cancel your subscription at any time by:
- Accessing your account settings
- Contacting our support team at admin@live.pro
Upon cancellation:
- You will retain access until the end of the current billing period
- No further charges will be made
- You may lose access to certain features or data after the subscription expires
4.6 NO REFUNDS POLICY
ALL FEES ARE NON-REFUNDABLE UNLESS OTHERWISE DETERMINED BY STREAMPROS LLC AT ITS SOLE DISCRETION.
- We do not offer refunds for any subscription fees, whether monthly, annual, or custom
- Refund requests may be reviewed on a case-by-case basis by our administrative team
- Any decision to issue a refund is entirely at our discretion and does not establish any precedent or obligation for future refund requests
- Partial refunds or credits may be issued at our sole discretion
- Chargebacks or payment disputes may result in immediate account termination
4.7 Free Trials
- Free trials are offered at our discretion and subject to eligibility requirements
- Trial duration and features may vary and are subject to change
- You may be required to provide payment information to start a trial
- If you do not cancel before the trial ends, you will be automatically charged for a paid subscription
- We reserve the right to limit or deny free trial access
4.8 Past Due Accounts
If payment fails or your account becomes past due:
- We may suspend access to the Service
- We may attempt to charge your payment method again
- Your account may be terminated for non-payment
- You remain liable for all unpaid fees
5. DATA OWNERSHIP AND LICENSE
5.1 User Ownership of Data
You retain all ownership rights to the data, content, information, and materials you enter, upload, or create using the Service ("User Data"), including but not limited to:
- Customer information and contact details
- Product listings and inventory data
- Sales records and transaction history
- Photos, images, and multimedia content
- Notes, tags, and custom fields
5.2 License Grant to StreamPros LLC
By using the Service, you grant StreamPros LLC a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable, and non-exclusive license to:
- Access, use, process, store, copy, modify, display, and transmit your User Data
- Analyze, aggregate, and derive insights from your User Data
- Create derivative works, algorithms, and models based on your User Data
- Use your User Data for machine learning, artificial intelligence training, and analytics
- Sublicense your User Data to third-party service providers who assist in delivering the Service
- Use your User Data for any lawful business purpose
This license survives termination of your account and these Terms.
5.3 Aggregated and Anonymized Data
StreamPros LLC owns all right, title, and interest in and to any data that is aggregated, anonymized, or de-identified from User Data ("Aggregated Data"), including all intellectual property rights therein.
We may:
- Use Aggregated Data for any purpose without restriction
- Sell, license, distribute, or otherwise monetize Aggregated Data
- Create data products, reports, benchmarks, and analytics from Aggregated Data
- Share Aggregated Data with third parties for commercial purposes
Aggregated Data does not identify you or your specific business and cannot be reverse-engineered to identify you.
5.4 Derivative Works
All algorithms, insights, models, analytics, and derivative works created by StreamPros LLC using or based on User Data are the exclusive property of StreamPros LLC.
6. USER CONTENT AND RESPONSIBILITIES
6.1 User-Generated Content
You may upload, submit, or create content through the Service, including:
- Product photos and images
- Product descriptions and titles
- Customer names and contact information
- Notes, tags, and custom data fields
6.2 Content Ownership
You represent and warrant that:
- You own or have the necessary rights to all User Content
- Your User Content does not infringe intellectual property rights of others
- Your User Content complies with all applicable laws and regulations
- You have obtained all necessary consents, releases, and permissions
6.3 Content Responsibility
You are solely responsible for:
- The accuracy, quality, and legality of your User Content
- Obtaining proper licenses or permissions for copyrighted materials
- Compliance with trademark, privacy, and publicity rights
- Ensuring User Content does not violate any laws or third-party rights
6.4 Prohibited Content
You may not upload or submit content that:
- Infringes intellectual property rights
- Contains illegal, harmful, or offensive material
- Violates privacy or publicity rights
- Contains viruses, malware, or harmful code
- Is fraudulent, deceptive, or misleading
- Violates any applicable laws or regulations
6.5 Content Removal
We reserve the right to:
- Review, monitor, or remove any User Content at our discretion
- Suspend or terminate accounts that violate content policies
- Cooperate with law enforcement regarding illegal content
7. PROHIBITED USES
You agree not to:
7.1 Legal Violations
- Violate any applicable laws, regulations, or ordinances
- Engage in fraudulent, deceptive, or illegal activities
- Facilitate illegal transactions or money laundering
7.2 System Abuse
- Interfere with or disrupt the Service or servers
- Attempt to gain unauthorized access to the Service or user accounts
- Use automated systems (bots, scripts) without authorization
- Reverse engineer, decompile, or disassemble the Service
- Circumvent security measures or access controls
7.3 Harmful Activities
- Transmit viruses, malware, or harmful code
- Overload, flood, or spam the Service
- Harvest or collect user information without consent
- Impersonate others or misrepresent affiliation
7.4 Commercial Misuse
- Use the Service to compete with StreamPros LLC
- Resell, redistribute, or sublicense the Service
- Use the Service for service bureau purposes without authorization
7.5 Intellectual Property Violations
- Infringe copyrights, trademarks, or patents
- Use the Service to sell counterfeit goods
- Violate third-party intellectual property rights
8. SERVICE AVAILABILITY AND PERFORMANCE
8.1 Best Effort Service
The Service is provided on a "best effort" basis. We strive to maintain high availability and performance, but we make no guarantees.
8.2 No Service Level Agreement (SLA)
WE DO NOT OFFER ANY SERVICE LEVEL AGREEMENT, UPTIME GUARANTEE, OR PERFORMANCE COMMITMENT.
We do not guarantee that the Service will:
- Be uninterrupted, timely, secure, or error-free
- Meet your specific requirements or expectations
- Be available at all times or in all locations
- Operate without defects, errors, or data loss
8.3 Maintenance and Downtime
We may:
- Perform scheduled or emergency maintenance at any time
- Experience unplanned outages or downtime
- Temporarily suspend the Service for updates or repairs
We will make reasonable efforts to minimize disruption but are not liable for any downtime.
8.4 Third-Party Dependencies
The Service relies on third-party providers (Supabase, Stripe, Vercel, etc.). We are not responsible for outages or issues caused by third-party services.
9. THIRD-PARTY SERVICES AND INTEGRATIONS
9.1 Third-Party Providers
The Service integrates with and relies on third-party services, including:
- Supabase: Database hosting and authentication
- Stripe: Payment processing
- Resend: Email delivery
- Vercel: Hosting and deployment
- Sentry: Error tracking and monitoring
9.2 Third-Party Terms
Your use of third-party services is subject to their respective terms and conditions. We are not responsible for the practices, policies, or performance of third-party services.
9.3 Data Sharing
By using the Service, you consent to the sharing of your data with third-party providers as necessary to deliver the Service. See our Privacy Policy for details.
10. INTELLECTUAL PROPERTY
10.1 Company IP
All intellectual property rights in the Service, including software, algorithms, designs, trademarks, logos, and content, are owned by StreamPros LLC or its licensors.
These Terms do not grant you any rights to:
- Use our trademarks, logos, or brand elements
- Copy, modify, or distribute our software or content
- Create derivative works based on the Service
10.2 Restrictions
You may not:
- Remove or alter any copyright, trademark, or proprietary notices
- Use our intellectual property without express written permission
- Register domain names, trademarks, or business names confusingly similar to ours
10.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, we may use such feedback without any obligation or compensation to you. All feedback becomes the exclusive property of StreamPros LLC.
11. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT
- ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT OR DATA
- UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE OPERATION
- CORRECTION OF DEFECTS OR ERRORS
- FREEDOM FROM VIRUSES OR HARMFUL COMPONENTS
11.1 No Guarantees
We do not warrant that:
- The Service will meet your specific requirements
- Results obtained from the Service will be accurate or reliable
- Any errors or defects will be corrected
- Your data will be secure or never lost
11.2 Your Risk
You use the Service at your own risk. You are solely responsible for:
- Any damage to your devices or systems
- Any loss of data or information
- Any business decisions made based on the Service
11.3 No Professional Advice
The Service does not provide legal, financial, tax, or professional advice. Consult with qualified professionals for specific advice.
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
12.1 Liability Cap
StreamPros LLC's total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to StreamPros LLC in the six (6) months immediately preceding the event giving rise to liability.
12.2 Exclusion of Damages
IN NO EVENT SHALL STREAMPROS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR BUSINESS OPPORTUNITIES
- BUSINESS INTERRUPTION OR LOSS OF BUSINESS
- COST OF SUBSTITUTE GOODS OR SERVICES
- DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE
- DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
- DAMAGES ARISING FROM THIRD-PARTY CONDUCT OR CONTENT
Even if StreamPros LLC has been advised of the possibility of such damages.
12.3 Basis of Bargain
You acknowledge that these limitations on liability are an essential basis of the bargain and that StreamPros LLC would not provide the Service without these limitations.
12.4 Applicable Law
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
13. INDEMNIFICATION
13.1 Your Indemnity Obligation
You agree to indemnify, defend, and hold harmless StreamPros LLC, its officers, directors, employees, agents, affiliates, contractors, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:
- Your use or misuse of the Service
- Your violation of these Terms or any applicable laws
- Your User Data or User Content
- Your violation of any rights of another person or entity
- Your negligence or willful misconduct
- Any sales, products, or services you provide to third parties
13.2 Defense and Settlement
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense and will not settle any matter without our prior written consent.
14. GOVERNING LAW AND DISPUTE RESOLUTION
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Alabama, United States, without regard to its conflict of law principles.
14.2 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
The arbitration shall be conducted:
- In the State of Alabama, United States
- Before a single arbitrator
- In the English language
- With the arbitrator's decision being final and binding
Judgment on the arbitration award may be entered in any court of competent jurisdiction.
14.3 Exceptions to Arbitration
Either party may seek equitable or injunctive relief in a court of competent jurisdiction to:
- Protect intellectual property rights
- Prevent unauthorized use or disclosure of confidential information
- Enforce the arbitration provision
14.4 Class Action Waiver
YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION.
You waive any right to:
- Participate in a class action lawsuit
- Participate in class-wide arbitration
- Act as a class representative or private attorney general
14.5 Jury Trial Waiver
You waive any right to a trial by jury for any disputes arising from these Terms or the Service.
15. CHANGES TO TERMS
15.1 Right to Modify
We reserve the right to modify, amend, or update these Terms at any time in our sole discretion.
15.2 Notice of Changes
When we make changes, we will:
- Update the "Last Updated" date at the top of these Terms
- Post the updated Terms on our website and in the Service
- Notify you via email or in-app notification (for material changes)
15.3 Acceptance of Changes
Your continued use of the Service after changes become effective constitutes your acceptance of the modified Terms.
If you do not agree to the modified Terms, you must:
- Stop using the Service
- Cancel your subscription
- Delete your account
15.4 Material Changes
For material changes that significantly affect your rights, we will provide at least 30 days' notice before the changes take effect.
16. TERMINATION
16.1 Termination by You
You may terminate these Terms at any time by:
- Cancelling your subscription
- Deleting your account
- Ceasing all use of the Service
16.2 Termination by Us
We may suspend or terminate your access to the Service immediately, with or without notice, for:
- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Non-payment of fees
- Prolonged inactivity
- At our sole discretion for any reason or no reason
16.3 Effect of Termination
Upon termination:
- Your right to access and use the Service immediately ceases
- Your subscription fees (if any) remain non-refundable
- You must cease all use of the Service and our intellectual property
- We may delete your account and User Data in accordance with our Privacy Policy
- Our license to use your User Data (Section 5.2) survives termination
- Our ownership of Aggregated Data survives termination
- Sections that by their nature should survive termination shall survive (including Sections 5, 11, 12, 13, 14, and 17)
16.4 Data Retrieval
Upon termination, you may request a copy of your User Data subject to our Privacy Policy. We are not obligated to retain your data after termination.
17. GENERAL PROVISIONS
17.1 Entire Agreement
These Terms, together with our EULA and Privacy Policy, constitute the entire agreement between you and StreamPros LLC regarding the Service and supersede all prior or contemporaneous understandings, agreements, representations, and warranties.
17.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
17.3 Waiver
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
17.4 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. Any attempted assignment in violation of this provision is void.
We may assign these Terms or any rights hereunder to:
- Any affiliate, subsidiary, or parent company
- Any successor or acquirer in connection with a merger, acquisition, or sale of assets
17.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, or internet/telecommunications failures.
17.6 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights. The provisions are for the sole benefit of you and StreamPros LLC.
17.7 Interpretation
Headings are for convenience only and do not affect interpretation. "Including" means "including without limitation." The singular includes the plural and vice versa.
17.8 Independent Contractors
You and StreamPros LLC are independent contractors. These Terms do not create a partnership, joint venture, employment, or agency relationship.
17.9 Electronic Communications
By using the Service, you consent to receive electronic communications from us, including emails, notifications, and messages through the Service. These communications may include notices, disclosures, and other information concerning the Service. You agree that electronic communications satisfy any legal requirement for written communications.
18. EXPORT COMPLIANCE
You acknowledge that the Service may be subject to export control laws and regulations of the United States and other jurisdictions. You agree to:
- Comply with all applicable export laws and regulations
- Not export, re-export, or transfer the Service in violation of such laws
- Not use the Service in embargoed countries or with sanctioned parties

21. ACKNOWLEDGMENT
BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM.
IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.
